Wuxi Pharmatech Enters Into Definitive Merger Agreement

SHANGHAI, Aug. 14, 2015 /PRNewswire/ — WuXi PharmaTech (Cayman) Inc. ("WuXi" or the "Company") (NYSE: WX), a leading open-access R&D capability and technology platform company serving the pharmaceutical, biotechnology, and medical device industries with operations in China and the United States, today announced that it has entered into a definitive Agreement and Plan of Merger (the "Merger Agreement") with New WuXi Life Science Limited ("Parent") and WuXi Merger Limited ("Merger Sub"), a wholly owned subsidiary of Parent.

Pursuant to the Merger Agreement, Parent will acquire the Company for cash consideration equal to US$5.75 per ordinary share of the Company (each, a "Share") and US$46 per American Depositary Share of the Company, each representing eight Shares (each, an "ADS"), or approximately US$3.3 billion in aggregate cash consideration. This represents a 16.5% premium over the closing price of US$39.50 per ADS as quoted by the New York Stock Exchange (the "NYSE") on April 29, 2015, and a premium of 18.9% and 20.1%, respectively, over the Company's 30- and 60- trading day volume-weighted average price as quoted by the NYSE prior to April 29, 2015, the last trading day prior to the Company's announcement on April 30, 2015 that it had received a non-binding "going private" proposal

Immediately following the consummation of the transactions contemplated by the Merger Agreement, Parent will be beneficially owned by a consortium (the "Buyer Group") comprised of:
     (i) new investors which include affiliates of or funds managed or advised by Ally Bridge Group 
         Capital Partners ("Ally Bridge"), Boyu Capital ("Boyu Capital"), Temasek Life Sciences  
         Private Limited ("Temasek") and Ping An Insurance ("Ping An");
     (ii) Hillhouse Fund II, L.P. ("Hillhouse", and together with Ally Bridge, Boyu Capital, Temasek, 
          Ping An and additional sponsors that may be admitted to the Buyer Group, the 
          "Sponsors"), an existing shareholder of the Company and an affiliate of Hillhouse Capital;  
          and
     (iii) the following founders and executive officers of the Company who have elected to roll-over 
          their interest in the Company in connection with the Merger (together with entities through 
          which such individuals own their Shares (including Shares represented by ADSs) (the 
          "Founders")): Dr. Ge Li, the chairman and chief executive officer, Mr. Xiaozhong Liu, an 
          executive vice president and a director, Mr. Zhaohui Zhang, a senior vice president of 
          operations, the head of domestic marketing and a director, and Dr. Ning Zhao, a senior vice 
          president of operations, the head of corporate human resources and a director.
As of the date of the Merger Agreement, Hillhouse and the Founders (together, the "Rollover Shareholders") beneficially own in aggregate approximately 4.5% of the issued and outstanding Shares.
Subject to the terms and conditions of the Merger Agreement, at the effective time of the Merger, Merger Sub will merge with and into the Company, with the Company continuing as the surviving corporation and a wholly owned subsidiary of Parent (the "Merger"), and each of the Shares issued and outstanding immediately prior to the effective time of the Merger (including Shares represented by ADSs) will be cancelled in consideration for the right to receive US$5.75 per Share or US$46.00 per ADS, in each case, in cash, without interest and net of any applicable withholding taxes, except for (i) Shares (including Shares represented by ADSs) held immediately prior to the effective time of the Merger by the Rollover Shareholders, Parent, the Company (or any of Parent or the Company's respective subsidiaries) or by the Company's ADS depositary and reserved for future issuance under the Company's stock option plan, which Shares will be cancelled without payment of any consideration or distribution therefor, and (ii) Shares owned by holders who have validly exercised and not effectively withdrawn or lost their rights to dissent from the Merger pursuant to Section 238 of the Companies Law of the Cayman Islands, which Shares will be cancelled at the effective time of the Merger for the right to receive the fair value of such Shares determined in accordance with the provisions of Section 238 of the Companies Law of the Cayman Islands.
The Buyer Group intends to fund the Merger through a combination of (i) cash contributions from the Sponsors and the Rollover Shareholders pursuant to equity commitment letters, and (ii) the proceeds from committed and underwritten loan facilities contemplated by debt commitment letters, each dated August 14, 2015, pursuant to which Shanghai Pudong Development Bank Co., Ltd. and Ping An Bank Co., Ltd. have agreed as underwriters and mandated lead arrangers to underwrite and arrange an aggregate ofUS$1.1 billion in debt financing for the Merger, subject to certain conditions.
The Company's board of directors, acting upon the unanimous recommendation of the special committee formed by the board of directors (the "Special Committee"), unanimously approved the Merger Agreement and the transactions contemplated by the Merger Agreement, including the Merger, and resolved to recommend that the Company's shareholders authorize and approve the Merger Agreement and the transactions contemplated by the Merger Agreement, including the Merger. The Special Committee, which is composed solely of independent directors of the Company who are unaffiliated with Parent, Merger Sub or any member of the Buyer Group or management of the Company, exclusively negotiated the terms of the Merger Agreement with the Buyer Group with the assistance of its independent financial and legal advisors.
The Merger, which is currently expected to close during the fourth quarter of 2015, is subject to shareholder approval as well as certain other customary closing conditions. Pursuant to the Merger Agreement, adoption of the Merger Agreement by the Company's shareholders requires both (i) a special resolution in accordance with Cayman Islands law by the affirmative vote of holders of Shares representing at least two-thirds of the Shares present and voting in person or by proxy as a single class at a meeting of the Company's shareholder, and (ii) an affirmative vote of holders of a majority of the Shares that are unaffiliated with Parent, the Founders or the Sponsors and present and voting in person or by proxy as a single class at a meeting of the Company's shareholders.
Pursuant to a support agreement among the Rollover Shareholders and Parent, the Rollover Shareholders have agreed to vote all their Shares and ADSs in favor of the authorization and approval of the Merger Agreement and the transactions contemplated by the Merger Agreement, including the Merger. If completed, the Merger will result in the Company becoming a privately-held company and ADSs will no longer be listed on the NYSE.

INNOVATION FUND
Division of Banks Settlement Funds to Expand Financial Literacy for Young Consumers  
BOSTON, MA – State Treasurer Deborah B. Goldberg announced today the recipients of the Financial Education Innovation Fund, an initiative that will provide grants to expand financial literacy fairs in high schools across the Commonwealth. The grants are funded from the Office of Consumer Affairs and Business Regulation through its Division of Banks settlement over alleged unlawful lending practices.  
“I have experienced firsthand the critical skills these ‘Credit for Life’ fairs teach our high school students,” said Treasurer Goldberg. “These new grants will help students to budget their money responsibly and make informed financial decisions as they prepare to enter college or begin their careers.”  
Through an extensive application process that culminated in June, the Treasurer’s Office awarded 20 high schools across the Commonwealth nearly $70,000 in grant money to expand upon or establish programs.  
“The Office of Consumer Affairs and Business Regulation through its Division of Banks is proud to support the expansion of financial education initiatives at the high school level in the Commonwealth,” said Undersecretary John Chapman. “The ‘Credit for Life’ fairs are fun and interactive for the students who participate, and I look forward to continuing our partnership with Treasurer Goldberg on future financial education initiatives.” 
Originally announced the fund was $50,000, but due to the number and quality of the applications received the fund was expanded to $70,000. The innovation fund will be an ongoing effort to expand financial literacy, so schools will have the opportunity to apply next year.
 These events are most commonly known as “Credit for Life” fairs. They are designed to be an innovative and effective way for students to learn about making real world decisions when it comes to saving, spending, and budgeting their money based on a range of career choices and lifestyle decisions.

Customers can receive real time service updates, alerts, and announcements

BOSTON – Monday, August 17, 2015 – The Massachusetts Registry of Motor Vehicles (RMV) today announced the official launch of a Twitter feed @MassRMV.  The announcement comes as part of a statewide initiative to bring RMV customers signature customer experience and will allow followers to receive Registry news, service updates, and other real time RMV information.  Followers will also have the ability to provide direct customer service feedback and ask questions through this interactive social media tool.

“The RMV’s new Twitter feed, @MassRMV, will provide customers with access to real time information on service updates, links to online options, and alternative ways in which Registry transactions can be conveniently processed such as online, at kiosks, or at designated AAA locations,” said Registrar Erin Deveney.  “By using @MassRMV, customers will have another valuable tool that can be used to stay engaged and be kept informed about our continual efforts to improve service delivery at the RMV.”

The purpose of creating this independent RMV Twitter feed is to provide customers with a more straightforward and transparent method of receiving and sending Registry communications. Previously, all RMV tweets were included within the Massachusetts Department of Transportation’s social media Twitter feeds.  The new account will be monitored and maintained by members of the Registry staff and will provide a more direct and focused link to RMV-related information.

HEAT ADVISORY: MAYOR WALSH URGES CAUTION DURING HOT TEMPERATURES
BOSTON - Monday, August 17, 2015 - Mayor Martin J. Walsh is reminding residents to take precautions during the hot weather forecast for this week. Information on heat safety tips can be found online at boston.gov/heat and by following @CityofBoston. 

At this time, Mayor Walsh has not declared a Heat Emergency, but can do so after temperatures have reached 90 degrees or higher for three or more consecutive days. During a Heat Emergency, cooling centers will be open across the City.

Residents can sign up for Alert Boston, the city's emergency notification system, to receive emergency alerts by phone, email or text. Sign up online: http://www. cityofboston.gov/oem/ alertboston.asp . Residents are also encouraged to call 311 with any questions about available city services. 

Heat Safety:

Adults and children should use sunscreen containing an SPF-15 or higher and wear protective, loose fitting clothing, including long sleeve shirts and hats.

The elderly, young children and those with chronic medical conditions are more susceptible to the effects of heat.

Always check in on family or neighbors who may be at risk of heat exhaustion or heat stroke as temperatures climb.

Children and pets should never be left alone in vehicles, even for short periods of times.

If you become lightheaded, confused, weak or faint, stop all activity and immediately find shade or a cool area to rest. If symptoms persist, call 911 immediately.

Limit outdoor activity to morning and evening hours. Rest often in shady areas and be extra cautious from 11 a.m. to 3 p.m., when the sun's UV radiation is strongest. 
Drink plenty of fluids regardless of activity level. Avoid alcoholic beverages and liquids high in sugar or caffeine. 

Homeless individuals can become dehydrated rapidly due to a lack of access to water or shelter from the heat. If you observe someone who appears in distress, call 911 immediately.

If you have a child in your home, use child window guards in addition to screens on any open window on the second story or above. Falls are the leading cause of injury for children under the age of six. Information about low-cost window guards for Boston residents can be found here

Secure all window air conditioner units according to the manufacturer's specifications. 

Playground Safety:  

Children should always wear shoes on playgrounds because surfaces can become extremely hot and cause burns, even splash pads and spray decks. 

Outdoor Fires and Grilling:
No outdoor fires are allowed in Boston, including fire pits, chimineas and bonfires.
Charcoal grills must be on the ground and away from buildings. Keep in mind the wind and never leave unattended. When done, dispose of the ash in a metal container once completely out.
Propane tank grills are only allowed on first floor porches with steps to the ground. Do not place propane tank grills near air conditioners or up against a building. Make sure all connections are tight and never carry propane tanks into a home.
Grills should always be used in a well-ventilated area.

Mosquitoes and Ticks:

If you are in a grassy or wooded area, apply a DEET containing repellent that will protect against mosquitoes AND ticks. Always check yourself, children and pets for ticks after returning indoors and remove attached ticks immediately using tweezers. Mosquito bites can spread West Nile virus (WNV) and Eastern Equine Encephalitis (EEE), while attached ticks can spread Lyme disease.

Wear long sleeve shirts, long pants and socks to prevent mosquito bites. Limit your time outdoors between dusk and dawn when mosquitoes are most active and apply an approved mosquito repellent.

波士頓僑團籌備慶雙十 2015求創意

駐波士市頓台北經濟文化辦事處814日晚在紐英崙中華公所召開慶祝雙十籌備會,經文處長賴銘琪鼓勵創意,大方拋豪語,“經費我來想辦法”。
            這場慶祝雙十籌備會由波士頓華僑文教中心主任郭大文,經文處處長賴銘琪,副處長陳銘俊,波士頓僑務委員馬滌凡,紐英崙中華公所主席阮鴻燦及財政翁宇才與三十多名出席籌備會的僑團首長熱絡討論。
            會末底定的結論有三,慶祝雙十的遊行、餐會,都將在十月十日舉行,遊行朝有花車,氣球,飄空標語等的方向籌辦,餐會以慶祝抗戰勝利七十週年為主題,餘興節目在唱卡拉OK之外,爭取辦時裝秀。文化訪問團將有明華園歌仔戲於929在到麻州衛斯頓鎮(Weston)瑞吉斯學院( Regis College)演出。
經文處處長賴銘琪在會中表示,今年的雙十遊行,希望能以動態形式進行,以吸引更多人注意,人數方面盼能動員到馬英九總統訪問波士頓時的不下一,二千人規格,街頭巷尾的裝飾佈置,也希望能超過馬總統到訪時共有不下21個姓氏公所、商戶掛旗幟所烘托出的前所未有氣氛。
            賴銘琪出任經文處處長前,曾駐守波士頓,前後相加,今年將是他第八次在波士頓慶祝雙十。他非常希望僑界集思廣益,構思創意,引起更多人共鳴。
            討論時,馬滌凡建議製作花車,賴銘琪鼓勵各僑團發揮創意,以不同主題來裝飾花車。郭大文舉例,指波士頓榮光會,華埠退伍軍人會等可安排曾參與二戰,諾曼地戰爭等的老兵穿上軍服,坐在掛有文字說明布條的車內遊行,還建議洽購在天空中噴字或拉布條的彰顯遊行的慶祝雙十主題。曾任波士頓國民黨常委的李伍綺蓮會後透露,波士頓華埠早年曾出動花車,參加地方上遊行,還登上英文報章,轟動一時。不過製作花車不但要有車輛,有裝飾,還要有人開車,有人在車上做展示,工程浩大。
            波士頓僑務促進委員劉啟祥當晚拋磚引玉,大方允諾捐款五百元來買汽球,藉以壯大遊行隊伍聲勢。
李伍綺蓮等人指出,如果遊行隊伍有花車,就應爭取更改遊行路線,繞行天滿街等更寬敞,遊人更多的道路。謝中之建議增加可派發給遊人的旗幟數量,翁宇才建議改派發印有青天白日滿地紅旗幟與美國國旗的水杯或揹帶等。

(Boston Orange 周菊子昆士市報導) 昆士市第28屆中秋節聯歡會 昨(16)日在氣溫一度高達華氏95度中熱鬧舉行,舞台上嘉賓人數雖較往年少些,興國街上攤位依舊綿延,遊人揮汗搧扇,絡繹不絕,熱鬧程度再次凌駕波士頓華埠。

亞協服務中心(QARI)董事陳黃小蘭表示,今年的聯歡會有巾幗女子醒獅團舞龍,華林功夫太極學校舞獅,開場氣氛比往年更熱鬧些。
兩個表演舞台分別龍,鳳命名,排有20多個表演節目。在興國街1400至1600號之間街道上,共有不下90個組織,機構,商家擺出逾百攤位,向民眾介紹各自的服務,項目或理念。另外還有糖園甜品等12家餐飲店,3輛食物卡車擺售各色食品。

            嘉賓們的致詞,大都是簡明扼要的節日祝福,柯奇市長強調昆市是個好地方,才會不斷吸引不同族裔人士遷入。市議會議長Joe Finn發言時比較慷慨激昂,指中秋節聯歡會是慶祝昆市多元化文的一種體現,有如感恩節般,讓人為不同背景的人,在此一同打造昆市美好未來而心懷感激。

            今年較為特別的狀況是昆市亞協的正副主席都未出席,代表昆市,往年例必出席的麻州參議員約翰基南(John Keenan),諾福克郡地方檢察官莫里塞(Michael Morrisey),也都不見人影。

应邀专程到旧金山出席首座海外抗日战争纪念馆的中国政协常委、中国国民党革命委员会中央委员会副主席郑建邦,在开幕式发表主题演讲时表示,不会忘记华人华侨以及国际反法西斯同盟国对中国抗日战争的支持和帮助。
郑建邦在致辞时首先向首座海外抗日战争纪念馆发起人、馆长方李邦琴女士,以及海外华人华侨对建设和支持纪念馆设立表示崇高的敬意。
他表示,从1931年日本发动9.18事变到抗战结束,中国人民付出了伤亡3500万人、财产损失5000亿美元的惨痛代价。在中华民族的危急关头,全体中华儿女团结一心,海外华人华侨以及以及美、苏、英等世界反法西斯同盟国为中国的抗战提供了有力的支援,赢得了抗日战争的胜利。也为世界反法西斯战争的最后胜利,作出了宝贵的贡献。
郑建邦表示,不会忘记在中华民族最危难的关头,无数华人华侨用尽各种方式支援祖国抗战,广大华人华侨开展的抗日宣传和募捐活动在全美各地声势浩大,不仅帮助国民政府推销救国公债,组织各种义演、公卖;还号召华人节衣缩食、为祖国抗战捐款捐物。据不完全统计,全美华人人均捐款300美元,其中旧金山地区,人均达500美元。
他同时指出,也不会忘记在中国抗日战争最困难的时期,美英苏等世界反法西斯同盟国与中国人民共度时艰,提供了许多宝贵的支援。美国政府不仅提供了大量的援华物资,还派出大批的支援航空队(飞虎队)来华参加抗日战争。抗战期间,也训练和装备了数十万的中国军队,其中由史迪威,索尔登将军先后担任总指挥的十万中国远征军驻印军,完全由美军在印度装备和训练,由英军提供给养。
1943年秋的缅北反攻战役中,中国远征军驻印军与滇西中国远征军一道,毙伤日军10 万人。重新打通了滇缅国际交通线,有效支援了中国国内大后方的抗战,加速了日军在东南亚战场的溃败,为美英盟军取得整个亚太地区对日作战的彻底胜利,作出了重大贡献。 (注:郑建邦的祖父郑洞国将军曾担任中国远征军驻印军副总指挥,先后与史迪威、索尔登将军合作共事)
郑建邦最后在发言中强烈谴责否认、歪曲、篡改第二次世界大战历史的图谋和行径,呼吁海外华人华侨与国际社会一道,共同维护二战的胜利成果和国际社会的公平正义,共同承担起维护战后国际秩序,捍卫世界和平的神圣使命。
出席当天开幕式并应邀发表演讲的嘉宾有中国国务院侨务办公室副主任何亚非、中国驻旧金山总领事罗林泉、北京大学常务副校长吴志攀、美国飞虎队历史委员会主席、退役少将怀特黑德、以及美国世界二次大战博物馆卡洛尔等。(AACYF旧金山讯)

“华侨与抗日战争”图片展全球巡展在旧金山开幕

“华侨与抗日战争”图片展全球巡展在旧金山开幕
815日下午,由中国国务院侨办主办的“华侨与抗日战争纪念抗战胜利七十年”主题图片展在旧金山中国城的Waverly街体育馆隆重开幕,中国国务院侨务办公室副主任何亚非、中国驻旧金山总领事罗林泉、知名华裔社会活动家方李邦琴等出席开幕仪式并讲话。
中国国务院侨办副主任何亚非在致辞时表示,今年是抗日战争胜利70周年,当年海外华人华侨为支持抗战提供了重要的和具有关键作用的人力、物力支持。这些图片记录了海外华人华侨在各个领域为抗战所做的感人篇章。
图片展一方面是感念当年华人华侨为抗日所做出的巨大贡献;另一方面,希望通过图片展,让海外华裔新生代和华侨子弟铭记先辈的光荣,不要忘记战争给中华民族带来的巨大灾难。
何亚非副主任介绍,华侨与抗日战争图片展84日在北京开展,之后将在约20个国家安排展出。
首座海外抗日战争纪念馆创办人方李邦琴女士在致词中表示,这次图片展正好弥补了纪念馆内有关华人华侨参与抗战历史的部分。当年海外华人华侨为抗日战争所做出的贡献,至今仍令华人感到难忘和自豪。
全美华人华侨纪念抗日战争胜利70周年委员会执行主席任向东表示,图片展的内容丰富,非常精炼,每一张照片都记载了一段可歌可泣的历史记忆,基本上涵盖了华人华侨与抗日战争的方方面面。图片展同时配以英文说明,非常有利于吸引美国主流社会和华裔新生代参观展览。
中国驻旧金山总领事馆文化参赞肖夏勇、全美中华青年联合会理事长朱冰峰、斯坦佛大学中国学者理事会主席何国忠、美洲中华青年促统会副主席王颂、南加州华人华侨联合会白冬梅、飞虎队历史委员会马宽池等出席了当天的开幕仪式。
展览共展出近百幅图片,包括“‘七七事变前’华侨的抗日救亡运动”,“全面抗战爆发,华侨抗日救亡运动掀起高潮”,“参加侨居地反法西斯斗争”,“永恒的纪念”与“牢记历史、莫忘国耻”等五大主题,每个主题下也会有一些具体的专题, 例如“华人华侨抗日宣传”、“人力、物力支持”等,每张图片并配有中英文图片说明。
图片展当天上午才开始布展,北加州河北同乡会、斯坦佛大学中国学者理事会、全美中华青年联合会、全美华人华侨纪念抗日战争胜利70周年委员会的义工们分工合作,从搬运图片和展览设备到展厅、拆包装箱、到图片分类、安装展览框架、布置图片等,都在短时间内顺利完成。受到国务院侨办何亚非副主任的好评。
开幕式当天吸引了当地众多华人华侨以及各界人士的参观。(AACYF旧金山讯)
